Boxaroo Store & Ship Platform: Policy and Terms
Our Store & Ship platform, is a software and service in which you (“Customer”) engage Boxaroo to store and ship, or in some cases only ship, your merchandise, which are purchased separately, directly to recipients, event locations, office locations or other locations globally using our platform and warehouses. By engaging Boxaroo (Boxaroo Pte. Ltd. and its subsidiaries, Boxaroo Europe S.L. and its subsidiaries) to provide this service to you, you agree to the terms herein, including the general terms of our shipping partners.
Storage
Store & Ship: Free Storage Duration
For items produced by Boxaroo for Store & Ship customers, we offer free storage. This free storage is valid for 12 months from the date of completion of production. If the products are not shipped within that timeframe, Boxaroo will charge you ad-hoc storage costs to continue storing the items. Our standard storage rate starts at EUR 99/month per square meter in our EMEA Fulfillment Center; and SGD 99/month per square meter in our APAC Fulfillment Center. Storage space shall be calculated in square metres and rounded up to the nearest whole square metre. Any fractional square metre shall be charged as a full square metre.
External Items
External Items refers to items not produced by Boxaroo, but that which Boxaroo agrees to store and ship on your behalf as part of our Store & Ship service, whether by itself or together with other items produced or sourced by Boxaroo. These products could be items you send to us, or items we purchase upon your request. Boxaroo will not take any responsibility for these items and we will not be liable for any shipment issues arising due to these items. Boxaroo will also not be liable for damages to these items during storage, transfer, transit or shipment. All liabilities for External Items are borne by you. Please note that Boxaroo also reserves the right to refuse storage of certain items without reason as we see fit. It is your responsibility to ensure any External Items you send us are not banned or illegal in the location of our Fulfillment Centers or the destinations you intend to ship them to. External Items cannot include food, beverages, contraband items, hazardous items or items not allowed for sale or consumption in Europe, Singapore or China.
Storage of External Items: Ad-hoc
External Items will be stored as a separate service. Our standard storage rate starts at EUR 99/month per square meter in our EMEA Fulfillment Center; and SGD 99/month per square meter in our APAC Fulfillment Center. Unless otherwise stated, or unless a specific agreement exists between you and Boxaroo, these rates will apply for all External Items. Storage space shall be calculated in square metres and rounded up to the nearest whole square metre. Any fractional square metre shall be charged as a full square metre.
Storage of External Items: Annual Contract
If you have a specific commercial agreement with Boxaroo, then the storage fee will be as per this specific agreement. The fees are to be paid in full on an annual basis, unless otherwise stated, and will be non-refundable. The space will be reserved for you for the entire duration regardless of whether or not the space is used in full. In the case of termination of your engagement with our Store & Ship service, or complete retrieval of stored External Items, the fees paid towards storage will not be refundable. If the space required to store your External Items exceeds the estimated volume as agreed between you and Boxaroo, then Boxaroo will inform you of this need for additional space. If there is no action on your end, Boxaroo will charge you the Ad-hoc storage fee for the additional space used to accommodate your External Items. Storage space shall be calculated in square metres and rounded up to the nearest whole square metre. Any fractional square metre shall be charged as a full square metre.
Shipment Contents for External Items
When you engage Boxaroo to store or ship External Items on your behalf, you are responsible for ensuring that the contents of your shipments are allowed to be sent to and received by the recipient in the destination country. Boxaroo will not be responsible or liable for any issues that may arise from shipping items that are unlawful, banned or in any way unacceptable for shipment to the destination country. Please refer to the local government regulations for this information. Boxaroo will not be liable for any of the contents in your shipment, and all charges or issues arising from the shipping of this content, if any, will be your sole responsibility.
Damage of External Items
If you engage Boxaroo to store and ship External Items, whether by itself or together with other items that are produced or sourced by Boxaroo, we will not be liable for any External Items damaged or lost during storage and shipping. If these External Items are damaged or lost during shipping, Boxaroo will help as best as we can with the process of investigating with the shipping carrier or shipping partner as to what happened but this does not mean we are liable for the damage or loss of these External Items.
Receipt of External Items
External Items that are shipped to us must always follow the inbound shipment process which will be available on the platform, which will be updated from time to time. The requested information in the Product Information Sheet (PIS) on the Inbound Shipment page is critical for us to receive, stock-check and inventory your External Items. You agree that any missing information on the PIS means that Boxaroo will need to estimate or input that information to the best of our knowledge, and will therefore not be liable for any costs, concerns, delays or shipments issues arising from us doing so. You acknowledge that any penalties and costs resulting from not adhering to the Inbound Shipment process are solely your responsibility.
Shipping
Shipping Estimates
Estimates provided to you by Boxaroo and costs shown on our website are only a rough estimate for a particular weight, and do not include additional charges like customs duties, import taxes and other surcharges added on by the shipment carrier, shipping partner or courier partner for whatever reason including remote area surcharges, duty forwarding surcharges, peak surcharges, fuel surcharges and so on. To be clear, the shipping estimates provided to you are the best possible estimates for a shipment of a particular weight, excluding customs duties, taxes and other unforeseen charges. The final invoice will only be processed and provided to you after the shipping has been completed. This final invoice will be provided by Boxaroo and will not include or indicate any reference to our shipping partners.
Shipping Weight
As per global shipping carrier requirements and calculations, the weight of the package or box is dependent on two factors. These two factors are (1) the actual weight and (2) the volumetric weight of the package or box. The weight that is charged is the higher of the two weights.
Customs Duties and Taxes
Boxaroo is not responsible for any customs duties and taxes applied to your shipment by the destination country. All fees imposed during or after shipping will first be paid for by Boxaroo and then be collected from you as part of your final shipping invoice. This process of paying customs duties and import taxes on your behalf, and then billing you for it, is part of our Store & Ship service, and the final invoice will be provided by Boxaroo directly. The final invoice will include a separate breakdown of (1) the freight costs and (2) the charges incurred for customs duties and import taxes for each shipment.
Delivery Estimates
The delivery estimates shown on the website or provided to you by other means, is only an estimate. Delivery delays can occasionally occur. Boxaroo will do its best to minimize delays and troubleshoot issues that arise during delivery and keep you updated on all information about delayed deliveries as informed to us by our shipping carriers and shipping partners.
Items Not Allowed for Shipment
Boxaroo will not store and ship electronics, products with batteries, alcohol, food, beverages or other items that are unlawful, banned or in any way unacceptable for shipment to the destination country. You are responsible for ensuring that the contents of your shipments are allowed to be sent to and received by the recipient in the destination country. Boxaroo will not be responsible or liable for any issues that may arise from shipping items that are unlawful, banned or in any way unacceptable for shipment to the destination country. Please refer to the local government regulations for this information. Boxaroo will not be liable for any of these contents in your shipment, and all charges arising from the shipping of these content, if any, will be your sole responsibility.
Recipient Information
Boxaroo will not be responsible for incorrect recipient details provided to us. If you are providing the recipient details to us, or if your recipients are providing it to us using the Redemption Page feature on our platform, then it is your responsibility to ensure that all recipient details are correct. Boxaroo will not be responsible for recipient details that are incorrect when provided to us by you or by your recipient.
Wrong Recipient Information
To ensure a smooth shipping experience please provide accurate Names, Addresses and Phone Numbers of the recipients in the agreed upon format. Whatever the format, Boxaroo will not take responsibility for any inaccurate information provided by you or your recipient. This may slow down the shipping process and may result in additional charges that you will need to pay. Boxaroo will assist in cases where addresses need to be changed but we will be unable to guarantee that this will result in a successful delivery if the original address was incorrect.
Recipient's Refusal to Accept Shipments
In the event that your recipient refuses to accept the shipment, Boxaroo will not be liable for the shipment. To avoid any doubt, refusal to accept means refusing to accept the shipment, refusing to provide any documents that the destination country and its customs authorities request, refusing to follow any processes requested by the destination country, reassigning the reception of the shipment to a different consignee whether this new consignee is an individual or a business, or changing the address of the shipment to a different address.
Shipments Abandoned by Customs
In the event that the destination country's customs authority abandons your shipment, whether this was due to customs regulations or due to your recipient failing to provide the necessary documentation or information requested, and if the customs office holds, abandons or destroys the shipment then Boxaroo will not be liable for those shipments. For the avoidance of doubt, the charges to send the shipments to the destination country and all other associated charges will have to be borne by you.
Recipient Not Reachable for 1 Week
In the event that the recipient is unable to be reached via the given phone number or address for more than 1 week, whether the reason for reaching them is to clear customs procedures or to deliver the shipment, the shipment will be considered as abandoned by the recipient. Boxaroo will not be liable for the shipments in this instance, and all the charges to send the shipments to the destination country and all other associated charges will have to be borne by you.
Return to Sender
If for any reason, whether it is related to customs regulations or whether it is due to the recipient's refusal to accept the shipment, the shipment needs to be returned to sender, then Boxaroo will accept the return on your behalf, and promptly inform you about the return of these shipments to our offices. These shipments will then be returned to your inventory, or abandoned as per your request. All associated charges in this situation will have to be borne by you.
Invoicing and Payment
Payment Terms for Store & Ship Customers
By using our Store & Ship service you agree to pay your bills and invoices within 30 days after it has been issued to you. Boxaroo reserves the right to charge penalties for late payment. For shipping, you will receive a monthly invoice with all the shipping costs incurred and billed so far. For the avoidance of doubt, it may take Boxaroo anywhere between 4 to 10 weeks to tally the customs duties, import taxes and other costs from various sources, and this means freight charges and other charges like customs duties and import taxes for the same shipment may be billed across different billing periods. You will also have access to a spreadsheet where you can see the breakdown of freight charges and charges incurred for duties and taxes for each shipment. Please note that this service is fully operated and provided by Boxaroo. For the avoidance of doubt, we don't function as an intermediary for our courier partners or between the customer and the courier partner and our agreements with global courier partners will have nothing whatsoever to do with our policy with you as a customer. Please note that tax invoices will only be provided to you once payments are made.
Payment Terms for One-Time Orders Requiring a Shipping Deposit
One-Time Order refers to instances where you do not use our Store & Ship platform, but engage Boxaroo to ship your items to one or multiple locations around the world. For most one-time orders, shipping is billed together with your goods. In some cases, Boxaroo may need to collect a shipping deposit, and then settle the final costs after the shipping is completed, especially if we need to wait to tally any customs duties and import taxes that will need to be charged on the shipment. In these cases, it may take Boxaroo anywhere between 4 to 10 weeks to tally the customs duties, import taxes and other costs from various sources. If the deposit is higher than the costs incurred, Boxaroo will refund the difference to you. If the deposit is lower than the costs incurred, Boxaroo will invoice you for the difference. This invoice will need to be paid within 30 days from the date of receiving the invoice. Boxaroo reserves the right to charge penalties for late payment. The bill will also be accompanied with a spreadsheet where you can see the breakdown of freight charges and charges incurred for duties and taxes for each shipment. Please note that this service is fully operated and provided by Boxaroo. For the avoidance of doubt, we don't function as an intermediary for our courier partners or between the customer and the courier partner and our agreements with global courier partners will have nothing whatsoever to do with our policy with you as a customer. Please note that tax invoices will only be provided to you once payments are made.
Intellectual Property
Boxaroo IP
Boxaroo retains all right, title, and interest in and to the Services, including all related intellectual property.
Customer Data
You retain all rights to data submitted to the Services, subject to Boxaroo’s right to process such data solely to provide our services.
Confidentiality
Confidential Information
Either party may receive confidential or proprietary information from the other (“Confidential Information”).
Obligations
The receiving party shall:
1. Use Confidential Information only to perform under this Agreement
2. Protect it using reasonable safeguards
3. Not disclose it to third parties except as permitted
Exclusions
Confidential Information does not include information that:
1. Is publicly available without breach
2. Was independently developed
3. Was lawfully received from a third party
Data Protection
To the extent Boxaroo processes personal data that belongs to you, such processing shall be governed by Boxaroo’s Data Processing Agreement (“DPA”).
Warranties and Disclaimers
Disclaimer
EXCEPT AS EXPRESSLY STATED, THE SERVICES ARE PROVIDED “AS IS” AND BOXAROO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Limitation of Liability
Exclusion of Damages
IN NO EVENT SHALL EITHER PARTY BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
Liability Cap
BOXAROO’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE FEES PAID BY CUSTOMER TO BOXAROO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
Indemnification
By Customer
Customer shall indemnify Boxaroo against claims arising from:
1. Customer’s misuse of the Services
2. Inaccurate or unlawful data provided by Customer
By Boxaroo
Boxaroo shall indemnify Customer against claims that the Services infringe third-party intellectual property rights.
Force Majeure
Neither Party shall be liable for failure to perform due to events beyond reasonable control, including acts of God, labor disputes, or carrier failures.
Governing Law
This Agreement shall be governed by the laws of the jurisdiction in which Boxaroo is established.
Amendments
Any amendments to this standard policy and agreement must be in writing and signed by both Parties.
Acceptance
Usage of Boxaroo’s Store & Ship service indicated acceptance of this policy and agreement, unless a separate policy and agreement with amendments is provided in writing and signed by both Parties.
